These Terms of Service ("Terms") constitute a legally binding agreement between you and Connexx ("Company," "we," "our," or "us") concerning your access to and use of the Connexx platform and services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Eligibility & Account Registration

Eligibility Requirements

To use our Service, you must:

  • • Be at least 18 years of age
  • • Be a licensed healthcare professional or authorized representative
  • • Have the authority to enter into these Terms
  • • Not be prohibited from using the Service under applicable law

Account Responsibilities

You agree to:

  • • Provide accurate, current, and complete information
  • • Maintain and update your information as necessary
  • • Maintain the security of your password and account
  • • Notify us immediately of any unauthorized access
  • • Accept responsibility for all activities under your account

Important: You may not share your account credentials or allow others to access your account.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your professional purposes.

Service Limitations

The Service is provided "as-is" and does not replace professional medical judgment or direct patient care. We do not:

  • • Provide medical advice or treatment
  • • Practice medicine or healthcare
  • • Create patient-provider relationships
  • • Guarantee outcomes or results

Acceptable Use & Prohibited Conduct

You Agree To:

  • ✓ Use the Service in compliance with all applicable laws
  • ✓ Maintain professional conduct and ethics
  • ✓ Protect patient privacy and confidentiality
  • ✓ Provide accurate and truthful information
  • ✓ Respect other users' rights and property

You May NOT:

  • ✗ Violate any laws, regulations, or professional standards
  • ✗ Impersonate others or provide false credentials
  • ✗ Upload malicious code, viruses, or harmful content
  • ✗ Attempt to gain unauthorized access to the Service
  • ✗ Interfere with or disrupt the Service
  • ✗ Use automated systems to access the Service
  • ✗ Reverse engineer or copy any part of the Service
  • ✗ Share inappropriate, offensive, or unprofessional content
  • ✗ Use the Service for commercial purposes outside its intended use
  • ✗ Violate HIPAA or other healthcare privacy laws

Subscriptions, Fees & Payments

Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis.

Practitioner

Individual NP / PA / RN accounts

Physician

Individual MD / DO accounts

Practice Owner

MedSpa / Behavioral Health Care practice owner accounts

Payment Terms

  • • You authorize us to charge your payment method for all fees
  • • Fees are non-refundable except as required by law
  • • You are responsible for all taxes associated with your subscription
  • • We may change fees with 30 days' notice

Automatic Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You can cancel anytime through your account settings.

Failed Payments

If payment fails, we may suspend or terminate your access to the Service. You remain responsible for any outstanding amounts.

Intellectual Property Rights

Our Property

The Service, including its design, features, code, content, and trademarks, is owned by Connexx and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

Your Content

You retain ownership of content you submit to the Service. By uploading content, you grant us a license to:

  • • Store, process, and display your content
  • • Provide the Service to you and other users
  • • Backup and secure your content
  • • Comply with legal obligations

Content Standards

You represent that your content does not violate any laws, infringe others' rights, or breach professional obligations.

Privacy & Data Protection

Privacy Commitment

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

HIPAA Compliance

We are committed to HIPAA compliance for Protected Health Information (PHI):

  • • We enter into Business Associate Agreements where required
  • • We implement appropriate safeguards for PHI
  • • We maintain audit controls and activity logs
  • • We follow breach notification procedures

Your Responsibilities

You are responsible for ensuring your use of the Service complies with HIPAA and other applicable privacy laws. You must obtain proper authorizations before sharing patient information.

Disclaimers & Limitation of Liability

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • • Merchantability and fitness for a particular purpose
  • • Non-infringement of third-party rights
  • • Uninterrupted or error-free operation
  • • Accuracy, reliability, or completeness of content
  • • Security or freedom from viruses

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNEXX SHALL NOT BE LIABLE FOR:

  • • Indirect, incidental, special, or consequential damages
  • • Loss of profits, data, or business opportunities
  • • Personal injury or property damage
  • • Third-party claims or actions
  • • Any damages exceeding the amount paid by you in the past 12 months

Indemnification

You agree to indemnify and hold harmless Connexx from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of others' rights.

Termination

Your Rights

You may terminate your account at any time by following the cancellation process in your account settings.

Our Rights

We may suspend or terminate your account immediately if you:

  • • Violate these Terms
  • • Fail to pay fees
  • • Engage in fraudulent or illegal activity
  • • Pose a security or legal risk
  • • Use the Service in a harmful manner

Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account and data, subject to legal retention requirements. Certain provisions of these Terms survive termination.

Dispute Resolution & Governing Law

Informal Resolution

Before filing a claim, you agree to contact us at contact@connexx360.com to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

General Provisions

Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification. Continued use constitutes acceptance.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Connexx.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
